Business Contracts

Business Contracts

Our firm is heavily involved in litigation and transactional work in a wide range of contract areas, with in-depth knowledge of many different types of contract relationships, including

Insurance

We advise private and public agency clients about the nature and scope of coverages provided by the standard form commercial general liability insurance, claims-made and occurrence-based policies, errors and omissions/professional liability/directors and officers insurance, and wrongful acts protections, including the myriad of exclusions and special form coverages written for various industries. Often, our knowledge of coverage interpretations will be used to obtain a defense of litigation for our clients, including the opportunity for settlement of claims and losses by the insurance carriers.

Agricultural

Farming operations require a full range of contract support, including crop and land leases, avoiding interference of oil and gas or other easements, interaction with public agencies regarding conservation easements or Williamson Act contracts, and access to water rights held in surface or groundwater supplies. Our firm advises and represents the agricultural community, specifically supporting valuable farming operations in Northern California areas, such as Yolo County and the Sacramento Valley.

Construction

We represent contractors, subcontractors, property owners, and public agencies in the negotiation and enforcement of contract obligations in the construction industry. From small residential jobs to major commercial and public projects, our experience in resolving construction disputes and our knowledge of construction practices helps our clients achieve success in their projects.

General Business

We assist business owners in anticipating and building successful relationships with investors, development partners, vendors, franchisors, and buyers, with appropriate agreements at the beginning of a venture or negotiated solutions in the middle of a business dispute. Even when we are litigating a troubled business relationship, our attorneys stay focused on the value of opportunities for rebuilding a successful venture. We advise clients on appropriate terms for development agreements, shareholder/partner agreements, buy-sell arrangements, and finance agreements.
